1. Acceptance of Terms

By accessing toothpasteoem.com or requesting a quotation, sample, or order from Qianlan Toothpaste Manufacturer ("we", "us", "the Company"), you ("you", "customer", "buyer") agree to these Terms & Conditions. If you do not agree, please do not use the site or our services. Where a separately signed manufacturing or distribution agreement exists, that agreement prevails for the specific transaction.

2. Website Use

• You may view and download site content for legitimate business evaluation only; not for resale or republication.
• Do not misuse the site: no hacking, scraping, overloading, or infringing other users' access.
• Information on the site is for general reference; product specs, capacity and certifications stated are indicative and confirmed in writing per project.

We may update or suspend parts of the site at any time without notice.

3. Intellectual Property

All website content — text, images, logos, layouts, and product designs not supplied by you — is owned by Qianlan Toothpaste Manufacturer or its licensors and protected by IP law. You may not copy, adapt, or reuse it without written permission.

For private label projects, your approved brand name, artwork and formula specifications remain your intellectual property. We will not use your branding for other customers or our own stock products without your consent.

4. OEM & Private Label Services

Our manufacturing services cover formulation, filling, packaging, and export of toothpaste and related oral-care products. Each project is scoped individually:

• Custom formula: developed to your target market, claims, and regulatory profile where lawful.
• Packaging: tube, carton, and display options confirmed by artwork proof.
• Claims & compliance: you are responsible for local market claims and registrations; we support with documentation (e.g., MSDS, COA, certificates).

5. Quotes, Orders & Minimum Quantity

• A quote is valid for the period stated (typically 30 days) and subject to formula, material cost, and MOQ confirmation.
• Orders are confirmed only on our written proforma invoice / contract; MOQ applies per SKU.
• Specifications, volumes, and delivery terms are fixed at order confirmation and may be amended by mutual written agreement.

6. Samples

Free or charged samples are provided for evaluation. Samples reflect target formulation and packaging but may differ slightly from mass production. Shipping costs for samples may be borne by the customer per the agreed quote.

7. Pricing & Payment

• Prices are quoted in the stated currency (commonly USD) and exclude destination duties, taxes, and local compliance fees unless agreed.
• Payment terms (deposit / balance against B/L or before shipment) are set in the proforma invoice.
• Late payment may suspend production or shipment; we are not liable for delays caused by unpaid balances.

8. Production & Shipping

• Lead times are estimates from confirmed artwork, deposit, and material readiness; force majeure除外.
• Risk passes per the agreed Incoterms (e.g., FOB, EXW, CIF). Title passes on full payment.
• You must inspect goods on receipt and notify us of quantifiable defects within the stated window (commonly 7–14 days).

9. Export Control & Compliance

We comply with applicable export and trade controls. Orders may be declined or suspended where required by law, sanction, or licensing. You are responsible for import licensing and local regulatory clearance in your destination country.

10. Limitation of Liability

To the maximum extent permitted by law, Qianlan Toothpaste Manufacturer is not liable for indirect, incidental, or consequential damages. Our aggregate liability for any claim arising from a transaction is limited to the amounts actually paid for the affected goods. Nothing excludes liability that cannot be excluded by mandatory law (e.g., for death, personal injury, or fraud).

11. Warranty & Returns

• We warrant goods conform to the confirmed specifications and applicable quality standards at shipment.
• Returns are accepted only for verified non-conforming goods under Section 8 inspection terms; consumable/perishable goods are not returnable absent defect.
• Remedy is, at our choice, replacement or credit for the affected quantity.

12. Governing Law & Dispute Resolution

These terms are drafted for a global B2B audience. The applicable governing law and forum depend on where you are located and any signed contract; we apply the following default frameworks by region, without creating a forum in a jurisdiction where we are not established:
